Conducting a Board of Directors Meeting
The organization of a board of director meeting requires the leadership skills of both executive directors and non-executive directors. The former heads the organization’s top management and oversees day-today operations and the latter brings different expertise to the table. In meetings, they look over documents and report, providing insight into management issues and strategic initiatives, and make decisions that impact the success of the company in the long term.
It is important to confirm prior to the meeting that all materials have been provided and that all logistics are in place. It’s also a good idea for you to reread and make any final changes on the agenda to ensure that all points are completed in a clear and organized manner.
The meeting begins with an opening statement from the chairman or presiding officer. The treasurer then provides an extensive report on current financial issues. The treasurer should have been prepared to present the report in advance so that board members could review it and prepare their questions.
Once the treasurer’s report is completed, any members may make motions regarding new business items. If they’re seconded, it is a vote and those in favour say ‘aye’, while those who oppose say ‘no’..
This is the perfect time to address any issues that are pending or unfinished from previous board meetings. Depending on the issue, a voice vote or show of hands may be used to resolve the matter. The presiding officer, or board chair, wraps up the meeting by providing a summary of the key decisions and actions agreed on. This ensures that all participants understand their responsibilities going forward.
